1. Introduction and Acceptance
We invite you to read this document carefully before using MORTON™, the software created and developed by PÉRGAMO LLC, as it sets out the conditions governing your access to and use of it. These Terms and Conditions are binding and constitute a legal agreement between you, as the User, and PÉRGAMO LLC, a limited liability company organized under the laws of the State of Delaware, United States, hereinafter referred to as THE PROVIDER.
By registering for, accessing or using the Platform through www.morton.coffee, you declare that you have read, understood and expressly accepted these Terms and Conditions. Acceptance is effected through the "I accept" button prior to use, and THE PROVIDER may retain evidence of such acceptance (date, time, IP address, document version) for traceability purposes. If you do not agree with any of the terms, you must refrain from registering, carrying out transactions or using the Platform.
MORTON™ is an academic support tool designed exclusively for anesthesiologists, anesthesia technicians and residents in the specialty. Its purpose is to facilitate continuing education, the simulation of clinical cases and the academic analysis of anesthetic scenarios through up-to-date, evidence-based information. MORTON™ does not replace the clinical judgment, knowledge, professional experience, responsibility or legal obligations of the User. Its use is strictly supplementary and academic; it is not designed to serve as the basis for clinical decisions in actual patient care. MORTON™ is not intended for patients or for the general public.
MORTON™ processes only coded clinical data for academic purposes, as set out in the Coded Clinical Data Processing Policy (Section 6 of this document). THE PROVIDER does not collect, store or process identifiable personal data or sensitive data. The User undertakes not to enter names, identification documents, addresses, email addresses or any other identifiers of individuals.

2. Definitions
Association: a formal group of 10 or more anesthesiologists, which may include hospital departments, professional associations, private practice groups or clinics, that contracts group access to the Platform.
Scientific Content: information, medical rules, algorithms and references integrated into the Platform, intended exclusively as academic support without replacing the professional judgment of the User.
Account: profile created by the User to access the MORTON™ Platform.
Coded Clinical Data: non-identifiable clinical information processed by the Platform for academic purposes, such as simulated physiological parameters and other similar data which, on their own, do not permit the direct or indirect identification of any individual.
Subscription Plan: the arrangement contracted by the User that determines access, functionality, duration and cost of use of the Platform.
Platform: the MORTON™ software, together with its modules, functionality and associated services.
Support Services: technical assistance provided by THE PROVIDER to resolve malfunctions or incidents reported by the User, in accordance with the conditions and hours established in these Terms and Conditions.
User: an anesthesiologist, anesthesia technician or active resident in the specialty who declares that they hold the training and legal authorization required to practice, and who accesses the MORTON™ Platform for academic and simulation purposes.
3. Purpose
As stated in the Introduction, MORTON™ is an academic tool specialized in anesthesiology. It supports continuing education and the analysis of clinical cases in the preoperative, intraoperative and post-anesthesia phases through algorithms and clinical rules grounded in up-to-date scientific literature and international guidelines.
The Platform allows, among other things:
- Generation of structured clinical documentation in a professional format for practice and academic analysis purposes.
- Rapid access to calculators, indices, scales, guidelines, protocols and relevant medication data in an educational context.
- Simulation of standardized anesthetic processes, with each step documented and supported by up-to-date scientific evidence.
Scope and limitations
The functionality is academic and indicative. It does not replace the professional assessment, clinical judgment or technical competencies of the User. MORTON™ is not an electronic health record, does not make diagnoses and does not prescribe treatments. Any decision taken on the basis of the information provided is the exclusive responsibility of the User.
Use of MORTON™ is academic and simulation-based: it does not constitute the practice of medicine or the provision of healthcare services, and it does not create a physician-patient relationship or any care relationship between the User, PÉRGAMO LLC and third parties.
4. Subscription and Access to the Platform
Access to the MORTON™ Platform is granted through a subscription with monthly or annual payment plans, according to the arrangement chosen by the User at the time of contracting.
Use of the Platform is intended for anesthesiologists, anesthesia technicians and residents in the specialty who declare that they hold the training and accreditation required to practice. THE PROVIDER will not routinely request evidence of such status, but reserves the right to require it at any time.
4.1 Subscription conditions
Access to the MORTON™ Platform is activated according to the arrangement contracted:
For subscriptions with a free trial period (Professional and Founders Option A): access begins immediately upon registration, with no credit card required. At the end of the trial period, the User decides whether to continue by paying for the subscription.
For subscriptions with advance payment (Pioneers, Founders Option B and Associations): access is activated when Stripe confirms successful payment. The launch of MORTON™ is scheduled between January 15 and February 28, 2026. Each User's full year begins when the service becomes available, not when the advance payment is made.
Subscriptions with advance payment include additional access time in the first year, included in the initial investment:
- Pioneers and Founders Option B: 15 additional days (total: 380 days in year 1)
- Founders Option A: 7 additional days if payment is made before December 1, 2025 (total: 372 days in year 1)
- Associations: 15 additional days if payment is made before December 1, 2025 (total: 380 days per user in year 1)
Subscriptions are personal, non-transferable and may not be shared with third parties. The system monitors IP addresses and allows only one active session per account. Detected sharing will result in cancellation of the account without refund.
Subscription time runs continuously from activation until the expiry date, without pauses or freezes, even if the User does not use the Platform.
All payments are processed exclusively through Stripe, the official payment gateway of PÉRGAMO LLC. THE PROVIDER accepts no responsibility for payments made to unauthorized third parties.
Billing currency: all payments are made in United States dollars (USD). The User's bank will apply the conversion to their local currency and may charge additional fees over which THE PROVIDER has no control or responsibility.
4.2 Subscriptions for Associations
Associations contract group access for 10 or more anesthesiologists. Each member receives individual credentials and manages their account independently. There is no administrator with access to other users' accounts in this version 1.0.
The representative of the Association coordinates the group payment and the list of authorized users. They must provide the full name, email address, country and city of practice of each user.
Annual renewal is the responsibility of the representative. PÉRGAMO LLC sends notice 60 days before expiry. The Association may adjust the number of users as set out in the pricing document:
- If it reduces the number of users, the remaining users keep the per-user price of the original tier they started with.
- If it increases the number of users, all users pay the price corresponding to the new total tier reached.
If the Association does not renew, all users lose access. Historical discounts are permanently lost. If the Association returns later, it pays the prices then in force for new groups.
4.3 Trial period
Certain subscription arrangements (Professional and Founders Option A) include a free 7-day trial period. During this period no payment details or credit card are requested.
To access the trial period, the User must register a valid and unique email address. This benefit is personal, non-transferable and granted only once per person.
Creating multiple accounts in order to extend or repeat the trial period constitutes misuse of the Platform. THE PROVIDER implements security mechanisms that include verification of IP addresses, devices and connection patterns in order to detect irregular behavior. In such cases, THE PROVIDER will immediately suspend or cancel the accounts involved with no right to a refund.
At the end of the trial period, the User must subscribe to a paid plan and register a valid payment method in order to continue with access.
Valid payment method: the User is responsible for keeping a valid payment method with sufficient funds up to date. THE PROVIDER assumes no responsibility for suspension of access caused by declined payments or insufficient funds.
Invoicing: Stripe generates electronic receipts for each transaction. THE PROVIDER may issue valid electronic invoices under applicable legislation, sent to the email address registered at the time of subscription.
4.4 Term and automatic renewal
Subscriptions renew automatically at the end of each period using the payment method registered with Stripe.
The User may update their payment details at any time through Stripe's secure portal or from the Platform settings. Maintaining a valid and up-to-date payment method is the exclusive responsibility of the User.
The User may cancel automatic renewal at any time before the expiry date. Upon cancellation, they will retain access until the expiry date already paid for. There are no prorated refunds for unused time.
Important for Pioneers, Founders and Associations: if you cancel your subscription, you permanently lose your preferential price and the discounts on future modules. If you return later, you will pay the prices then in force for new users.
THE PROVIDER will send renewal notices to the registered email address at least 15 days in advance. For Associations, notice is sent 60 days in advance.
Price adjustments: prices for Pioneers, Founders and Associations are adjusted only for USD inflation (CPI-U) with a maximum cap of 5% per year, provided they keep their subscription active without interruption. Prices for the Professional Subscription are adjusted in accordance with the strategy of PÉRGAMO LLC.
If a payment cannot be processed, Stripe will carry out automatic retries. During this period, the subscription will remain in a pending state and may be suspended if it is not brought up to date. THE PROVIDER will notify each failed charge by email.
4.5 Promotional codes and discounts
THE PROVIDER may offer promotional codes or discount coupons applicable to the subscription through Stripe. These codes are subject to the following conditions:
- They are valid only during the period established for each promotion. They have a specific expiry date configured in the system.
- They must be entered during the payment process in the corresponding Stripe field. They are not applied retroactively to subscriptions already processed.
- They cannot be combined with other active promotional codes. Stripe allows only one code per transaction.
- They are not redeemable for cash and may not be exchanged for other benefits or services.
- They are personal and non-transferable. Each code has a configured usage limit which may be single-use or multiple-use depending on the specific promotion.
- Special promotional codes for Pioneers, Founders and Associations are unique and personalized. They are sent by email to the requester after completing the registration process with PÉRGAMO LLC.
THE PROVIDER reserves the right to deactivate promotional codes that it detects as improperly shared, fraudulently obtained or used in violation of these terms.
4.6 No refunds
As a general rule, no full or partial refunds are made for early cancellation, non-use or any cause attributable to the User.
No refunds are made for inability to access due to failures in the User's internet connection, institutional network restrictions or corporate blocks that prevent access to MORTON™. Managing connectivity permissions within each institution is the exclusive responsibility of the User or Association.
Exceptions:
- THE PROVIDER may grant refunds in cases of duplicate charges, billing errors or confirmed fraud, provided that the User requests them within seven (7) days following the transaction.
- If MORTON™ is unable to launch the service between January 15 and February 28, 2026, those who have paid in advance may choose between waiting for the new launch date while keeping their rate, or requesting a full 100% refund of the payment made.
- In the event of a bank dispute (chargeback) raised by the User's bank, the charge may be reversed in accordance with Stripe's policies. During this process, THE PROVIDER may suspend access and, if the dispute succeeds, permanently cancel the subscription.
5. Coded Clinical Data Processing Policy
MORTON™ does not collect, store or process identifiable personal data or protected health information. All information processed by the Platform corresponds exclusively to coded academic data for simulation and study purposes, which do not permit the direct or indirect identification of any individual.
PÉRGAMO LLC is not a covered entity under the U.S. Health Insurance Portability and Accountability Act (HIPAA) and does not assume obligations as a healthcare provider.
5.1 Scope
This policy applies to all coded clinical data entered into and processed by the Platform for academic purposes, including: age, sex, simulated physiological parameters, clinical scales and scores, anesthetic categories and codes generated automatically for internal reference.
No names, identification numbers, addresses, patient email addresses or other data that could identify individuals are collected.
5.2 Purpose of processing
- To run the internal clinical logic of the software in order to support continuing education, the simulation of clinical cases and the academic analysis of anesthetic scenarios.
- To enable the operation of the integrated modules, forms and algorithms for educational purposes.
- To generate aggregated and anonymized statistics for technical monitoring, security and continuous improvement of the Platform.
- Under no circumstances is individual patient profiling, targeted marketing or analysis of individuals' behavior carried out.
5.3 Principles applied
Integrity: accurate and consistent use of coded clinical information for academic purposes.
Security: protection against loss, tampering or unauthorized access through up-to-date technical standards.
Transparency: clarity as to what data is used, for what academic purposes and under what conditions.
Minimization: exclusive use of the information strictly necessary for the educational functionality of the software.

5.5 Term and updates
This policy takes effect upon publication and may be amended by THE PROVIDER to accommodate technical, regulatory or operational changes.
Updates will be communicated to the User through notices on the Platform or by email at least fifteen (15) days in advance. The User must accept the amendments in order to continue using the Platform.
The User may access the history of updates at any time through the Platform.
This policy forms an integral part of these Terms and Conditions. Acceptance of it is deemed included in the general acceptance of this document.
6. Intellectual Property
6.1 Ownership
MORTON™, including its software, modules, algorithms, databases, interfaces, designs, logos, trademarks, processed scientific content, scales, calculators, manuals, training videos and other associated elements, is the exclusive property of PÉRGAMO LLC. It is protected by copyright and industrial property laws and international treaties and other applicable rules.
The trademark and logo MORTON™ – Precise decisions, time for you are registered with the Superintendency of Industry and Commerce of Colombia, granting THE PROVIDER exclusive rights of use and exploitation.
PÉRGAMO LLC is a company duly organized in the State of Delaware, United States, with a current Employer Identification Number (EIN).
6.2 Scope of the license
Access to or subscription to the Platform grants the User no intellectual property rights over MORTON™ or its components. It grants only a limited right of personal use, non-exclusive, non-transferable and revocable, in accordance with these Terms and Conditions and the subscription plan in force.
6.3 Regarding guidelines, protocols and calculators
Copyright in the medical guidelines, clinical protocols, scales, calculators and other scientific content integrated into the Platform belongs to their authors, scientific societies or original issuing bodies.
PÉRGAMO LLC claims no authorship of such content. It does, however, own the rights to the design, development, structuring, adaptation, digitization and presentation of these elements within MORTON™, including their conversion into algorithms, interactive forms, workflows and any other format exclusive to the software.
MORTON™ does not provide or distribute complete third-party copyrighted documents. It organizes and presents public domain information as an academic reference. THE PROVIDER is under no obligation to share, disclose or provide its own internal guidelines, proprietary algorithms, decision logic or technical documentation of the MORTON™ system.
6.4 Regarding content generated by the User
The clinical content that the User generates within the Platform (notes, reports, summaries or other documents) is their own work and their exclusive responsibility.
The format, structure, algorithms, tools and functionality used to create it are the exclusive property of PÉRGAMO LLC. They may not be reproduced, adapted or reused outside the Platform without the prior written authorization of THE PROVIDER.
6.5 Prohibited uses
The following is expressly prohibited without the prior written authorization of THE PROVIDER:
- Copying, reproducing, modifying, altering, decompiling, reverse engineering, disassembling or creating derivative works of the Platform or any of its components.
- Distributing, selling, renting, sublicensing or making access to the Platform available to third parties, in whole or in part.
- Using the MORTON™ trademark or any associated distinctive sign for commercial purposes or for any other unauthorized purpose.
- Sharing access credentials with other people, allowing or facilitating unauthorized entry to the Platform.
Unauthorized use of the protected elements will give rise to civil claims and criminal actions under applicable law, in addition to immediate cancellation of the account with no right to a refund.
7. Limitation of Liability
The User acknowledges and accepts that any action taken on the basis of the information or functionality of the software will be under their exclusive professional responsibility, releasing PÉRGAMO LLC and its representatives from any claim, direct or indirect, arising from:
- Use of MORTON™ for purposes other than the academic and simulation purposes for which it was designed.
- Interpretation or application of the information without validation against primary sources, institutional protocols or independent clinical judgment.
- Content being out of date with respect to local protocols or the most recent literature available.
- Discrepancies between the academic recommendations of MORTON™ and the specific protocols of the institution where the User practices.
THE PROVIDER assumes no responsibility for:
- Interruptions, errors, delays or temporary unavailability of the Platform due to scheduled or emergency maintenance, force majeure or fortuitous event.
- Loss of information generated by the User as a result of technical failures, cyberattacks or connectivity errors.
- Errors or failures arising from use of the Platform together with unauthorized third-party systems, devices or applications.
- Interruptions of access arising from limitations of the User's network, local connectivity failures or institutional blocks. Managing access permissions within institutions is the responsibility of the User or their Association.
- Outages of third-party services such as cloud providers (Google Cloud, Microsoft Azure, Amazon Web Services), telecommunications networks or payment gateways (Stripe).
Limitation of damages
To the maximum extent permitted by law, THE PROVIDER will not be liable for indirect, incidental, special or consequential damages, nor for loss of profits, loss of data or business interruption arising from the use of or inability to use MORTON™.
8. User Obligations and Grounds for Suspension
8.1 User obligations
The User undertakes to:
- Use the Platform solely for academic purposes, simulation and analysis of clinical cases in anesthesiology.
- Keep their access credentials confidential and not share them with third parties under any circumstances.
- Enter only coded academic information. It is prohibited to include data that identifies real patients (names, identification documents, addresses, medical record numbers or other sensitive personal data).
- Keep a valid payment method with sufficient funds up to date for the automatic renewals of their subscription.
- Respect the intellectual property rights established in Section 6 of this document.
- Not carry out actions that affect the security, stability or availability of the Platform, including unauthorized automated access, circumvention of technical controls or penetration testing without written authorization.
- Not disseminate, publish or host false or misleading information, or information intended to discredit, disparage or harm the image, reputation or good name of MORTON™ or of THE PROVIDER.
- Evidence their status as an anesthesiologist, anesthesia technician or anesthesiology resident if THE PROVIDER so requests.
- Log out when finished, especially on shared equipment.
- Immediately report any suspected unauthorized use of their account to admin@pergamo.org
8.2 Grounds for suspension or cancellation
THE PROVIDER may temporarily suspend or permanently cancel the User's account, with no right to a refund under Section 4.6, for:
- Breach of any of the obligations established in these Terms and Conditions.
- Sharing access credentials or allowing third parties to use their account. The system detects sharing patterns by monitoring IP addresses and simultaneous sessions.
- Creating multiple accounts in order to extend trial periods or evade Platform controls.
- Entering information that identifies real patients, violating the academic nature of the Platform.
- Providing false, non-existent or unauthorized payment details.
- Using the Platform for purposes other than the academic and simulation purposes in anesthesiology for which it was designed.
- Reverse engineering, decompiling, copying or attempting to extract the source code, algorithms or databases of MORTON™.
- Reselling, sublicensing, transferring or assigning access to the Platform to third parties without the express authorization of THE PROVIDER.
- Carrying out actions that degrade the service, circumvent security limits or affect the normal operation of the Platform.
- Disseminating, publishing or hosting false or misleading information, or information intended to discredit, disparage or harm the image, reputation or good name of MORTON™ or of THE PROVIDER.
- Failing to evidence their status as an anesthesiologist, anesthesia technician or anesthesiology resident if THE PROVIDER so requires.
- Using the Platform in a manner contrary to the legal or ethical rules applicable in their jurisdiction.
- Abusive use of the support channels that affects the normal operation of the Platform.
Suspension or cancellation will be notified to the registered email address. The clauses on intellectual property, confidentiality, limitation of liability and dispute resolution will remain in force after termination of the subscription.
9. Availability and Technical Support
9.1 Availability of the Platform
THE PROVIDER will make reasonable efforts to keep MORTON™ continuously available. However, temporary interruptions may occur due to scheduled maintenance, updates, technical failures or force majeure causes already established in Section 7 of this document.
Scheduled maintenance: will be announced with reasonable advance notice through the Platform or by email.
Emergency maintenance: will be reported as soon as possible.
9.2 Scope of technical support
Technical support is limited to:
- Resolving access problems and basic operation of the Platform.
- Providing assistance on the use of the main features.
- Handling reported incidents relating to system errors or failures.
It does not include:
- Medical or clinical training.
- Modification of functionality for particular cases.
- Support for the User's devices, software or networks.
- Integration with unauthorized external systems.
- Medical or clinical advice.
- Provision, sharing or facilitation of complete clinical management guidelines, copyrighted medical protocols or third-party clinical practice documents.
9.3 Channels and hours of service

Feedback module: available within the Platform to report technical failures, functional errors or send comments.
Hours of service: Monday to Friday, 8:00 a.m - 6:00 p.m. (UTC-5, Colombia time), excluding Colombian national holidays.
Response times vary depending on the complexity of the case. Immediate resolution is not guaranteed.
9.4 Appropriate use of support
THE PROVIDER may limit or temporarily suspend access to support in the event of abusive use that affects the operation of the service, including mass sending of requests, spam or automated contact attempts.
10. Information Security
10.1 Security commitment
THE PROVIDER adopts reasonable technical, administrative and organizational measures to protect the integrity, availability and confidentiality of the information processed by MORTON™. These measures include:
- Individual authentication per user with unique credentials.
- Encryption of data in transit and at rest using industry-standard protocols.
- Session control with a limit of one active session per account. If the User logs in on a second device, the active session on the first will be closed automatically.
- Monitoring of IP addresses and access patterns to detect irregular or shared use.
- Limits on access attempts and automatic logout after prolonged inactivity.
- Periodic internal audits and secure backups.
10.2 Protection of coded clinical data
MORTON™ processes only coded clinical data for academic purposes, as established in Section 5 of this document.
10.3 Shared responsibility
Security also depends on the actions of the User, as established in Section 8.1 of this document.
10.4 Security incidents
If a security incident is detected that compromises the integrity or availability of the information, THE PROVIDER will communicate it to the User by email, together with the corrective actions implemented.
The User must report any suspected or actual event they detect using the established support channels.
10.5 Preventive suspension for security reasons
If THE PROVIDER detects a real or potential risk to the security of the information or of the Platform, it may temporarily suspend the User's access as a preventive measure until the measures necessary to mitigate that risk have been adopted.
11. Amendments to the Terms and Conditions
THE PROVIDER may amend these Terms and Conditions to adapt them to technical, regulatory, operational or service delivery changes.
Updates will be published on the Platform and notified to the User by email at least fifteen (15) days before they take effect.
Exceptions: if the amendment is necessary to comply with immediate legal requirements or for urgent security reasons, it may be applied earlier with immediate notice.
Continued use of the Platform after the effective date of the changes will constitute acceptance of the new version. If the User does not agree with the amendments, they must cancel their subscription before the effective date.
Clauses that are not amended retain full force.
The version history will be available for consultation within the Platform.
12. Governing Law and Dispute Resolution
These Terms and Conditions are governed by the laws of the State of Delaware, United States, excluding its conflict of laws rules.
Any dispute arising out of these Terms and Conditions will be resolved finally and bindingly by arbitration administered by the American Arbitration Association (AAA) under its rules in force, seated in Wilmington, Delaware and conducted in English.
Notwithstanding the foregoing, THE PROVIDER may apply to the courts of Delaware for injunctive relief, in particular to protect intellectual property, confidentiality, the security of the Platform or to collect overdue fees.
The parties waive their right to participate in class actions.
Use of the Platform does not release the User from complying with the laws and regulations applicable in their country or jurisdiction of professional practice.
13. Final Provisions
If any provision of these Terms and Conditions is declared void, unlawful or unenforceable by a competent authority, the remaining provisions will retain full force.
Any failure by THE PROVIDER to exercise or enforce any right or provision will not constitute a waiver of that right.
These Terms and Conditions constitute the entire agreement between THE PROVIDER and the User in relation to the use of the Platform, and supersede any prior communication, understanding or agreement relating to the same subject matter.
Official communications from THE PROVIDER will be sent to the email address registered by the User.
14. Acceptance and Effective Date
By accepting these Terms and Conditions through a click or by using the Platform, the User declares that they have read, understood and accepted all the provisions established here. This action constitutes a valid electronic signature under the E-SIGN Act.
The clauses on intellectual property, confidentiality, prohibited uses, limitation of liability and dispute resolution will remain in force after termination of the subscription.
These Terms and Conditions take effect upon publication and may be consulted in their updated version at www.morton.coffee.
